Their combined expertise positions MediaCenters to grow successfully from start-up visionary to industry leader.

John SchanzJohn Schanz, President, Chief Executive Officer and co-founder of MediaCenters, brings over 15 years of experience in network architecture development, implementation, integration, and operations. Mr. Schanz has experience ranging from engineering and new business unit creation, to insightful executive level management. From data network engineering to the expansion of network infrastructures and public data networks for Fortune 500 companies, Before co-founding MediaCenters, Mr. Schanz held the Executive Vice President and Chief Operating Officer positions for Transaction Network Services (TNS--a PSINet company). He was responsible for the overall day-to-day operations including: business unit performance, engineering, development, system integration, corporate MIS, and human resources functions.

Prior to TNS, he was the director of data engineering for Sprint Corporation. His management role included overall design, engineering, and implementation of Sprint's public data networks. As director of data engineering, he also provided strategic planning, design, and operations support for Sprint's largest customers. Mr. Schanz is well prepared to deploy cutting edge broadband technology and to implement best-of-breed infrastructure services.

He holds a B.E. in electrical engineering from Manhattan College School of Engineering and completed GE's Information Systems Management Program.

Mr. Schanz is responsible for guiding the vision of MediaCenters - the Internet Broadband Exchange Company.



Jim GreenbergJim Greenberg, Chief Technology Officer and co-founder of MediaCenters, brings over 19 years of creating network architectures and fulfilling the dynamic needs of infrastructure services. Prior to MediaCenters, Mr. Greenberg was the co-founder and chief network officer of Rhythms NetConnections, Inc., the nation's most innovative DSL CLEC (digital subscriber line competitive local exchange carrier). He was responsible for the Rhythms national network architecture, engineering, product development, operations, field services, regulatory management, and administrative back office/IT superstructures that were the key delivery mechanisms supporting Rhythms leadership and explosive growth.

Prior to Rhythms, Mr. Greenberg held several executive positions at Sprint where he was an early pioneer of the first U.S. national Internet backbone. He is also credited for creating the first public ATM (asynchronous transfer mode) and frame relay networks for Sprint business customers. Besides leading Sprint's systems development, engineering, and service centers organizations, Mr. Greenberg was responsible for the development and construction of the America Online data network.

He holds a B.S. in computer science from the University of Maryland, graduating Summa Cum Laude, and also holds a M.S. in business from the University of Maryland.

Mr. Greenberg is responsible for the visionary architecture behind MediaCenters Optical Network and broadband software connectivity infrastructure as well as its services.



John PoliJohn Poli, Chief Network Officer of MediaCenters, brings 15 years of experience in architecture, planning, engineering, operations and customer service for the most advanced data services in the market.. Prior to MediaCenters, Mr. Poli was the Vice President of Data Operations for Qwest Communications, where he was responsible for the - Internet and ATM/frame relay network operations. He led all network management operations and service delivery for 10,000 data service customers. His accomplishments included creating a next generation operations architecture to support rapidly growing ATM, Frame Relay, Qwest IP, VPN and ISP services - supporting over 200% annual growth in data services utilizing Qwest's high speed fiber backbone.

Prior to Qwest, Mr. Poli served as Senior Director of the Public Data Service Center for Sprint Corporation, where he was an early pioneer in Internet systems integration. His team provided the primary operations support for Sprint's frame relay, X.25, and IP dial services while supporting aggressive growth in Sprint Data. Before Sprint, Mr. Poli led the Systems Integration division for Network Software Associates, Inc. Mr. Poli went to Network Software Associates after being an officer in the U.S. Air Force developing cruise missile defense systems and tactical intelligence integration at Electronic Systems Division.

He holds a B.S. in electrical engineering from Cornell University, College of Engineering and also holds a MBA degree from Boston University's Graduate School of Management.

Mr. Poli is responsible for the creation and management of MediaCenters Network Planning, Engineering, Operations, and Customer Service divisions.



Matthew PetzoldMatthew Petzold, Chief Financial Officer of MediaCenters, brings 14 years of financial expertise in the technology industry. Prior to MediaCenters, Mr. Petzold was Vice President and Chief Financial Officer of UUNET Technologies, Inc., a WorldCom, Inc. company. He was an integral team member setting the successful strategic direction of the largest worldwide Internet Service Provider. He was responsible for the financial planning and reporting, management reporting, capital investments, mergers, acquisitions, and acquisition integration activities. Before his promotion to CFO at UUNET, Mr. Petzold served as its controller responsible for accounting policy and procedure, reporting and public filings.

Mr. Petzold served his early career as an audit manager at Arthur Andersen LLP providing accounting and business advisory services to corporate clients that included public equity offerings, regulatory filings and mergers and acquisitions. He has also assisted his clients with private financing and venture capital investing.

Mr. Petzold holds a B.A. in management, graduating Phi Beta Kappa, from Gettysburg College, and is a CPA.

Mr. Petzold is responsible for the strategic direction, operation, and management of the company's financial resources as well as a contributing member setting the company's strategic direction, business plan, and capital investments.



Andrew BaeAndrew Baer, Chief Information Officer for MediaCenters, brings almost twenty years of progressive systems development expertise within the telecommunications and government financial management system industries. Prior to MediaCenters, Mr. Baer was Vice President of Customer Care Information Systems for Bell Atlantic, where he was responsible for all strategic customer-facing and provisioning interface systems, including Bell Atlantic's expressTRAK' initiative, a new, advanced architecture customer care and billing system implementation.

Mr. Baer was previously Vice President at American Management Systems, Inc., one of the largest systems integrators serving the telecommunications industry. While with AMS, Mr. Baer led development and deployment of next-generation, object-oriented customer care and billing systems. He supervised the design of an integrated customer care and billing system as well as a Point of Sale customer activation system for a large UK wireless telephony provider. He also oversaw AMS' work for BellSouth's QUANTUM initiative, and was AMS Director of Object Technology, leading applied research in object technology and the company's CORE 2000 software development supporting the rapid development of large-scale transaction processing systems.

Mr. Baer received his BS in Finance and Economics from the University of Maryland, and his MBA in Accounting and Information Systems from Cornell University.

He is responsible for all information systems and software development within MediaCenters general operations and Broadband OSS delivery platforms.



Jim McLaughlinJim McLaughlin, General Counsel and Secretary of MediaCenters, brings corporate counsel expertise from both the private and public sectors of telecommunications and securities regulation. Prior to MediaCenters, Mr. McLaughlin was Vice President and Assistant General Counsel for Transaction Network Services, Inc. He was a key participant in negotiating and closing numerous domestic and international telecommunications transactions, including the sale of Transaction Network Services Inc. to PSINet for $720 million purchasing of assets from AT&T Corp., and supervising claims before the Federal Communications Commission (FCC) against AT&T Corporation.

After beginning his law career clerking for Delaware Supreme Court Justice Henry R. Horsey, Mr. McLaughlin was associated with the law firm of Howrey & Simon where his focus was on antitrust and intellectual property litigation. He gained securities law experience as an attorney with the office of the General Counsel, United States Securities and Exchange Commission (SEC).

He holds a B.A. in history from the University of Pennsylvania and earned his J.D. at the University of Virginia School of Law. He is a member of the Virginia and District of Columbia bar associations.

Mr. McLaughlin is responsible for all legal and regulatory matters of the company including the oversight of all general corporate, regulatory compliance, and transactional work.
